ORDER TO SHOW CAUSE filed by Wachovia Corporation. Defendant Citigroup, Inc. shall show cause as to why pursuant to Rules 26 and 65 of the Federal Rules of Civil Procedure and subject to
revision by the Judge to whom this case is assigned: (i) Enjoing Citigroup and its officers, agents, servants, employees, and attorneys, and those persons in active concert or
participation with it who receive actual notice of this Order by personal service or otherwise, from (i) taking any steps to interfere with or impede the orderly progress of the merger
agreement entered into between Wachovia and Wells Fargo & Co., and/or (ii) invoking the Exclusivity Agreement or Term Sheet to require Wachovia to negotiate (or accept) any
transaction that is less favorable to shareholders than the Wells Fargo Transaction; or (ii) Alternatively, ordering the parties conduct an expedited trial on the merits beginning on
Wednesday, 10/8/2008. The request for a Temporary Restraining Order is denied without prejudice to renewal before the Judge to whom this case is assigned. Service of a copy of this Order
and the papers upon which it is based on Citigroup have been made. Show Cause Hearing set for 10/7/2008 at 12:00 PM before Judge Lewis A. Kaplan. Show Cause Response due by 10/7/2008.
